Terms of Service

1. Acceptance of Terms

By accessing or using the Ideople platform ("the Service"), operated by Noetic IT Services ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Ideople is a no-code AI agent automation platform that enables users to:

  • Create and deploy autonomous AI agents powered by multiple LLM providers
  • Build visual workflows with triggers, conditions, and actions
  • Connect to 44+ third-party integrations via OAuth and API
  • Upload and manage knowledge bases for Retrieval-Augmented Generation (RAG)
  • Collaborate within workspaces with role-based access controls

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Keep your password and authentication credentials confidential
  • Enable two-factor authentication where available for enhanced security
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account and use the Service.

4. Workspaces and Team Access

The Service supports multi-user workspaces. As a workspace owner, you are responsible for:

  • Managing team member invitations and role assignments
  • Ensuring team members comply with these Terms
  • Controlling access to integrations, agents, and knowledge bases within your workspace
  • Credit consumption by all workspace members

5. Subscription, Credits, and Billing

5.1 Plans and Pricing

  • The Service offers multiple subscription tiers (Free, Starter, Professional, Enterprise) with varying credit allocations, feature limits, and team sizes
  • Pricing is displayed on our Pricing page and may be updated with 30 days' notice

5.2 Credits

  • Agent executions, LLM API calls, and certain platform actions consume credits
  • Credits are allocated per billing cycle and do not roll over unless explicitly stated in your plan
  • Credit consumption varies by LLM model, context length, and tool usage
  • You may purchase additional credit packs or configure auto-topup to avoid service interruption

5.3 Billing

  • Subscriptions are billed monthly or annually as selected at time of purchase
  • Payments are processed through PayPal. By subscribing, you authorize recurring charges
  • You may upgrade, downgrade, or cancel your subscription at any time from your account settings
  • Downgrades and cancellations take effect at the end of the current billing period
  • Refunds are evaluated on a case-by-case basis. Contact billing@ideople.com for requests

5.4 Free Tier

The Free plan includes limited credits and features. We reserve the right to modify Free tier limits at any time. Free accounts inactive for 90+ days may be subject to deletion with prior notice.

6. Acceptable Use

You agree to use the Service responsibly. You must not:

  • Use the Service for any unlawful, fraudulent, or harmful purpose
  • Deploy agents that generate spam, phishing content, malware, or deceptive material
  • Use agents to harass, threaten, or impersonate individuals
  • Attempt to gain unauthorized access to other users' accounts, data, or workspaces
  • Circumvent rate limits, credit limits, or other usage restrictions through automated means
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or redistribute access to the Service without written authorization
  • Interfere with or disrupt the integrity or performance of the Service infrastructure
  • Use the Service in violation of any applicable export control or sanctions laws

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice depending on severity.

7. AI Agent Responsibilities

You acknowledge and agree that:

  • AI agents may produce inaccurate, incomplete, or unexpected outputs. You are responsible for reviewing and validating agent actions before relying on them
  • Agents configured with tool access (email, CRM, messaging) can take real-world actions. You are responsible for the consequences of these actions
  • Human-in-the-loop approval features are available for sensitive operations and should be used where appropriate
  • You are responsible for the data you provide to agents, including knowledge base content and integration credentials
  • We are not liable for decisions made based on AI agent outputs

8. Intellectual Property

8.1 Our Property

The Service, including its design, code, features, documentation, and branding, is owned by Ideople / Noetic IT Services and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8.2 Your Content

You retain ownership of all data, content, agent configurations, knowledge base documents, and outputs you create using the Service. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely as necessary to provide the Service.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.

9. Third-Party Services and Integrations

  • The Service integrates with third-party tools (e.g., Slack, Gmail, HubSpot, OpenAI, Anthropic). Your use of these integrations is subject to their respective terms of service and privacy policies
  • We act as a conduit for data flowing between your agents and third-party services. We are not responsible for the availability, accuracy, or actions of third-party services
  • Integration credentials are encrypted and stored securely. You may revoke integration access at any time from your settings
  • LLM providers (OpenAI, Anthropic, Google, AWS Bedrock, Mistral, Cohere) process your agent prompts and context according to their own data policies

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI agent outputs will be accurate, complete, or suitable for any particular purpose
  • Third-party integrations will remain available or function as expected

11. Limitation of Liability

To the maximum extent permitted by law, Ideople and Noetic IT Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Damages arising from AI agent actions or outputs
  • Damages arising from third-party service failures or data breaches

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ideople, Noetic IT Services, and their officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

  • By you: You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period
  • By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay subscription fees. We will provide notice where possible
  • Effect of termination: Upon termination, your right to access the Service ceases immediately. You may request export of your data within 30 days of termination by contacting support@ideople.com
  • Survival: Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or by posting a prominent notice on the platform at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
